Sec 404 - Management Assessment of Internal Controls

Section 404 obliges publicly traded companies to have management evaluate and report on the effectiveness of their internal controls over financial reporting, and to obtain an external auditor's attestation of that evaluation. The assessment and any identified material weaknesses must be included in the annual report.
