Sec 906 - Corporate Responsibility for Financial Reports (Criminal)
Section 906 of the Sarbanes-Oxley Act makes it a criminal offense for senior corporate officers to certify that a financial report complies with the requirements of the Securities Exchange Act when they know the report is false or misleading, imposing fines and up to 20 years imprisonment. The provision is intended to hold CEOs and CFOs personally accountable for the accuracy of public financial statements.
