Beneficial ownership reporting requires individuals or entities that acquire or hold a specified share of a public company's securities to file disclosures with the SEC. Form 13D applies to owners of more than 5 percent who intend to influence the issuer, while Form 13G is a shorter filing for passive investors. Form 13F obligates institutional managers with at least $100 million in equity securities to report their quarterly holdings.
